By creating an account or using any part of Randivo, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms are governed by the laws of the Republic of Indonesia, including UU No. 27 Tahun 2022 tentang Pelindungan Data Pribadi (UU PDP).

1. The Service

1.1 What Randivo Is

Randivo is a pre-event planning operating system for event organizers in Indonesia. It provides tools for vendor management, budget tracking, task management, rundown planning, and team collaboration within a single workspace.

1.2 What Randivo Is Not

Randivo is not a vendor marketplace. We do not facilitate contracts, payments, or transactions between users and vendors. Vendors listed in the platform are reference data only. You are solely responsible for any agreement you enter into with a vendor.

Randivo is not a financial advisor. Budget suggestions generated by AI features are estimates only and do not constitute financial advice.

1.3 Beta Status

The Platform is currently in beta. Features may change, be removed, or behave unexpectedly. We make no guarantee of uptime, data persistence, or feature availability during the beta period. We will make reasonable efforts to notify users of significant changes.

2. Account Registration

2.1 Eligibility

You must be at least 18 years of age to create an account. By registering, you represent that you meet this requirement.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information when creating your account. You are responsible for keeping your account information up to date.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at contact@randivo.space if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account due to your failure to secure your credentials.

2.4 One Account Per User

Each user may maintain one account. Creating multiple accounts to circumvent tier limitations is prohibited and may result in termination of all associated accounts.

3. Service Tiers

3.1 Free Tier

Free tier users may access core event planning features subject to the following limitations:

Paid tier subscribers receive access to:

Paid tier pricing, billing cycles, and payment terms will be communicated separately at the point of upgrade. Payment is processed through a third-party payment gateway (Midtrans or Xendit). We do not store your payment card details.

3.3 Tier Changes

Downgrading from a paid tier to the free tier may restrict access to events and features that exceed free tier limits. Your data will not be deleted upon downgrade; however, you may not be able to actively manage events that exceed the free tier event cap until events are closed or archived.

4. User Obligations

4.1 Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Permitted use includes planning events, managing vendors and budgets, collaborating with team members, and exporting your event data.

You are responsible for all content you submit to the Platform, including event details, vendor information, budget data, and notes. By submitting content, you represent that you have the right to do so and that it does not violate any third-party rights.

5. Vendor Data

5.1 Shared Vendor Library

The Platform maintains a shared vendor library that is visible to all registered users. When you add vendor information to your events, that information may be stored in and contribute to the shared vendor library.

5.2 Vendor Data Accuracy

Vendor data in the library is submitted by users and curated by Randivo. We do not guarantee the accuracy, completeness, or availability of any vendor listed. You are responsible for independently verifying vendor information before entering into any agreement.

5.3 Vendor Rights

If you are a vendor and believe your business information has been listed inaccurately or without consent, contact us at contact@randivo.space and we will review and correct or remove the listing within a reasonable timeframe.

6. AI Features

6.1 Availability

AI-powered features are available exclusively to paid tier subscribers. Free tier users may see feature entry points but will be prompted to upgrade to access them.

6.2 AI Processing

AI features are powered by the Anthropic API. When you use an AI feature, relevant portions of your event data (such as event type, guest count, and budget range) are sent to Anthropic's servers for processing. By using AI features, you consent to this data transfer.

6.3 No Guarantee of AI Output

AI-generated suggestions are provided as a starting point only. They are not professional advice. You are responsible for reviewing, validating, and making final decisions based on AI outputs. We are not liable for any loss or damage arising from reliance on AI-generated content.

7. Collaboration Features

7.1 Inviting Collaborators

You may invite other registered Randivo users to collaborate on your events. As the event owner, you are responsible for managing collaborator access and for the actions collaborators take within your event workspace.

7.2 Collaborator Roles

Collaborators may be granted editor or viewer roles. Role permissions are defined within the Platform and may change as features are updated.

7.3 Revoking Access

You may revoke collaborator access to your events at any time through the event settings. Removed collaborators lose access immediately.

8. Intellectual Property

8.1 Our IP

The Platform, including its design, code, branding, and original content, is owned by Randivo and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works of any part of the Platform without our express written permission.

8.2 Your Data

You retain ownership of all content and data you submit to the Platform. By using the Platform, you grant us a limited, non-exclusive license to store, display, and process your content solely to provide the Service to you.

8.3 Feedback

If you submit feedback, suggestions, or feature requests, you grant us the right to use that feedback without restriction or compensation to you.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, store, and protect your personal data in accordance with UU PDP No. 27 Tahun 2022.

10.1 Termination by You

You may stop using the Platform at any time. To request deletion of your account and associated data, contact us at contact@randivo.space.

10.2 Termination by Us

We reserve the right to suspend or terminate your account without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or abusive behavior, or pose a security risk to the Platform or other users.

10.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Service Provided As-Is

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or fitness of the Platform for any particular purpose. We do not warrant that the Platform will be error-free or uninterrupted.

11.2 No Liability for Vendor Outcomes

We are not a party to any agreement between you and a vendor. We are not liable for any vendor's performance, failure to perform, pricing, quality of service, or any loss arising from your engagement with a vendor discovered through or managed in the Platform.

11.3 Limitation of Liability

To the maximum extent permitted by applicable Indonesian law, our total liability to you for any claim arising out of or in connection with the Platform shall not exceed the amount you paid us in the 3 (three) months preceding the claim. For free tier users, our total liability shall not exceed IDR 100,000.

11.4 Indemnification

You agree to indemnify and hold harmless Randivo from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this document and notify you via email or in-app notification for material changes. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Jakarta, Indonesia.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Randivo regarding your use of the Platform and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.
